Re: Notice of Commencement of Assignment for the Benefit of Creditors
Please be advised that Easy Gardener Products, Inc. (the “Company”) has voluntarily surrendered and assigned the assets of the Company to EGP-ORA ABC LLC (the “Assignee”), a subsidiary of Oxford Restructuring Advisors LLC, in an Assignment for the Benefit of Creditors (“ABC”). An ABC is a court-supervised process whereby a company’s affairs are wound down and any remaining assets are disbursed to creditors who file timely claims. The Assignee will monetize the Company’s remaining assets to pay creditors on a pro-rata basis, with payments allocated in order of priority under applicable Kentucky law. The ABC was filed on May 30, 2025 in the Bourbon County Civil District Court, Commonwealth of Kentucky, under case number 25-P-00091.
The Company, based in Paris, KY, has faced significant financial challenges and is unable to meet its obligations as they come due. To maximize value for its stakeholders, the Company has elected to pursue the ABC to facilitate an orderly, independent sale process of its assets. The Company is indebted to numerous creditors and has determined that this approach provides the most viable path toward a fair and efficient distribution of available proceeds.
This notice is being sent to all known creditors of the Company. Your organization has been identified as a creditor. As such, you may have specific legal rights and you should consider consulting an attorney regarding those rights. In the meantime, we suggest that you file a proof of claim for the amount owed to you. Please attach copies of your invoices and any supporting documentation that clarifies the amount and basis for your claim.
In accordance with Kentucky law (KRS Ch. 379), the Assignee is receiving claims by U.S. mail, postage paid or by email at info@ezg-abc.com through July 15, 2025. A proof of claim form for this case has been included with this notice for your reference and use. The Assignee’s mailing address is specified in the proof of claim form..
Failure to file a timely proof of claim may preclude you from participating in any distribution of the Company’s assets, if available. Filing a proof of claim does not guarantee a recovery for creditors. Distributions will be made based on asset realizations and in accordance with applicable priority rules.
